Request For Approval Of The Proposed Indirect Transfer Of Control In Africa Broadcasting Uganda Limited (Abul) And Monitor Publications Limited (Mpl) tender at Uganda Communications Commission

The Uganda Communication Commission (the Commission) was established under section 4 of the Uganda Communications Act, Cap 103 (the Act) as the regulator of the communications sector in Uganda with mandate to among others monitor, inspect, licence, supervise, control, promote and safeguard interests of consumers and providers of communications services in Uganda. NPRT Holdings Africa Limited (NPRT) is a holder of a 54.08% shareholding in Nation Media Group PLC (NMG) NMG is a majority shareholder in Africa Broadcasting Uganda Limited (ABUL) which is licensed to carry out communication services under the brand names; NTV and Spark TV. NMG is also a majority shareholder in Monitor Publications Limited, which is licensed to carry out communications services under the brand names; Dembe FM and K.FM. Taarifa Limited, incorporated in Mauritius, intends to enter into a transaction with NPRT through which it wholly acquires NPRT. The proposed acquisition of NPRT by Taarifa will result in an indirect change of control over ABUL and MPL through the transfer of ownership at the parent company level. In accordance with section 43 of the Uganda Communications Act, Cap 103, and Regulation 102 of the Uganda Communications (licensing) Regulations, 2019 Africa Broadcasting Uganda Limited and Monitor Publications Limited notified the Uganda Communications Commission of the proposed transfer of shares / change in control and sought the approval of the same. If approved, the proposed transactions shall lead to an indirect change in control of Africa Broadcasting Uganda Limited and Monitor Publications Limited. In accordance with section 39(2) (d) of the Act, Commission is required to consider public interest before determining whether or not to approve the transfer of license. The general public is therefore requested to provide written comments, if any, regarding the aforesaid application. Comments should be sent to the address below within fourteen (14) days from the date of this notice.
